General Terms and Conditions

These Terms apply to all IT, support, maintenance, SaaS and project services supplied by Mixel IT and Corporate Services GmbH.

1. Scope and Order of Precedence

These Terms apply to all offers, contracts, support, project work and digital services supplied by Mixel IT and Corporate Services GmbH. Written offers, order confirmations, service level agreements or data processing agreements prevail where they contain more specific terms.

2. Contract Formation

A contract is formed when the customer accepts an offer, places an order, uses an account, or when Mixel starts work after the customer instruction. Unless stated otherwise, offers are valid for 14 days and prices exclude VAT.

3. Service Delivery and Cooperation

Mixel provides IT services, service desk, maintenance, infrastructure, cloud, security and software services with professional care. Dates and response times are planning estimates unless expressly guaranteed in writing. Customers must provide information, access, contacts, permissions and backups in good time.

4. Fees and Payment

Unless agreed otherwise, invoices are payable in Swiss francs within 30 days net. Extra work, emergencies, work outside business hours, third-party fees, travel and change requests are charged separately. If payment is overdue, Mixel may suspend services after reasonable notice.

5. Changes, Support and Third Parties

Work outside the agreed scope is treated as a change request or additional order. Mixel may use suitable employees, subcontractors and third-party providers. Their terms may apply in addition where the customer uses those services.

6. Intellectual Property

Pre-existing rights remain with their respective owners. Mixel retains rights in its methods, templates, tools, know-how and reusable components. Customer-specific deliverables are licensed for the agreed use after full payment.

7. Confidentiality

Both parties must keep non-public business, technical, financial, security and personal information confidential. This duty starts before contract formation and survives termination while the information remains non-public or legally protected.

8. Data Protection

Personal data is processed according to the Privacy Policy, the revised Swiss Federal Act on Data Protection and, where applicable, the GDPR. Where Mixel processes personal data on behalf of a customer, a data processing agreement applies in addition.

9. Warranty and Liability

Mixel performs services with reasonable professional care. For defects, the primary remedy is correction. To the extent permitted by law, Mixel is liable only for direct damages caused by intent or gross negligence and capped at the fees paid for the affected service in the preceding 12 months. Indirect damages, lost profit, data loss and business interruption are excluded.

10. Termination, Law and Venue

Recurring services may be terminated with the agreed notice period or, if none is agreed, on 30 days notice to the end of a billing period. Swiss law applies, excluding conflict rules and CISG. Venue is Zurich unless mandatory law provides otherwise.
